Valuation & modelling

We carry out valuations of companies and intangible assets (brands, patents), as well as financial modelling of optional products, including management packages.

Our work comes into play at moments where decisions carry real stakes: capital transactions, structuring, governance, shareholder negotiations, or more sensitive contexts (disagreements, disputes, proceedings).

Valuation and financial modelling

Brand Valuation

Assessment of the royalty rate or financial value of a brand. Intervention in acquisition contexts, setting royalties with third parties or intra-group (transfer pricing), litigation, and accounting contexts.

Commercial Goodwill Valuation

Financial valuation of commercial goodwill (fonds de commerce). Used in the event of disposal, contribution, or loss of value of the business.

Patent Valuation

Financial valuation of patents or related royalties. Intervention in acquisition contexts, setting royalties with third parties or intra-group (transfer pricing), litigation, and accounting contexts.

Valuation of Unpatented Know-How

Financial valuation of technical, commercial, or organisational know-how. In acquisition, transfer, licensing, or damages contexts.

Company Valuation

Business valuation based on a multi-criteria analysis. Intervention in transaction, tax, or litigation contexts, as well as accounting or reporting contexts.

Fairness Opinion

Independent expert for public tender offers and capital transactions. Multi-criteria analysis in accordance with AMF instructions and recommendations.

Management Packages

Support throughout the structuring of the management package as well as its valuation and any related disputes. Intervention in transactional, accounting, tax, and litigation contexts.

Debt Valuation

Valuation of private debt or instruments economically equivalent to debt (preference shares) based on a multi-criteria analysis. Intervention in transaction, tax, or litigation contexts, as well as accounting or reporting contexts.

Purchase Price Allocation (PPA)

Analysis and allocation of the difference between the acquisition price and net asset value. Work carried out in accordance with applicable accounting standards and consolidation requirements.

Financial Engineering and Modelling

Financial modelling in support of transactions and strategic decisions. An analytical tool for financing, investment, and restructuring.

Examples of situations where we get involved

Business valuation in a transactional context

Valuation of listed and unlisted companies in the context of M&A, sale/transfer, takeover or squeeze-out of minority shareholders, incorporating discounts (minority, illiquidity) depending on context.

Intangible assets and PPA / impairment

Valuation of brands, patents and other intangible assets (acquisition/disposal, restructuring, royalty rates, damages), and production of documented reports for PPA and impairment testing.

Management packages and optional instruments

Support with structuring, simulation of payoff profiles, valuation for negotiation, and preparation of admissible reports (auditors, tax authorities), with analysis of key parameters (volatility, illiquidity, LBO constraints).

Public offers and independent expert opinions

In certain public offer or capital transaction contexts, the AMF (French Financial Markets Authority) requires an independent expert. We intervene using a multi-criteria approach in line with AMF recommendations (market-based and intrinsic methods), with possible cross-checking against the share price and past transactions.
